ProVault – Terms of Service

These Terms of Service (“Terms”) govern your access to and use of ProVault (the “Service”), operated by ProVault Ltd (“we,” “us,” or “our”). Please read these Terms carefully before using the Service. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use ProVault.

1. Eligibility

You must be at least 16 years old to use ProVault.

By registering, you confirm that you meet this requirement.

2. Your Account

  • You are responsible for keeping your login details (email and password) secure.
  • You must not share your account with others or allow unauthorised access.
  • You are responsible for all activity under your account.
  • You can close your account at any time via account settings or by contacting us.

3. Your Data and Privacy

  • You own and control the data you store in ProVault.
  • We only collect and process personal data that is necessary for providing the Service or where you have given consent.
  • We handle personal data in line with our Privacy Policy, which sets out:
    • What data we collect.
    • How we use and protect it.
    • How long we keep it.
    • Your rights under the UK GDPR (including access, correction, deletion, withdrawal of consent, and the right to complain to the ICO).
  • Our lawful basis for processing data may be consent (e.g. for marketing updates) or contract (e.g. to deliver the Service you sign up for).
  • You may withdraw consent at any time by contacting us at [email protected].

4. Acceptable Use

You agree not to:

  • Use ProVault for unlawful, fraudulent, or harmful purposes.
  • Attempt to disrupt, damage, or gain unauthorised access to the Service.
  • Upload malicious code, malware, or harmful data.

5. Subscriptions and Payment

  • ProVault may be offered free during an early access or beta period.
  • If paid subscriptions are introduced, pricing and payment terms will be clearly communicated.
  • Paid subscriptions will auto-renew unless cancelled before the renewal date.
  • We may update prices, but you will be notified in advance and given the option to cancel.

6. Service Availability and Changes

  • We aim to provide reliable, continuous access to ProVault but cannot guarantee 100% uptime.
  • We may update, improve, or remove features to enhance the Service.
  • If we discontinue the Service entirely, we will give you reasonable notice to export your data.

7. Data Storage and Protection

  • Data is stored securely with encryption in transit and at rest.
  • Access is restricted to authorised personnel only.
  • We regularly review and update our security measures.
  • Data retention periods are detailed in our Privacy Policy. For example, accounts that remain unverified may be deleted after 90 days, and marketing emails will be deleted within 24 months unless you opt in to continue receiving updates.

7a. Website Analytics

We use Google Analytics 4 (GA4) on our marketing site to understand usage and improve user experience. GA4 is implemented with Google Consent Mode v2 and is default‑denied until you provide consent via the cookie banner. No analytics events are sent before consent. You can change your choice at any time via “Cookie settings” in the footer. GA4 is used for aggregate insights only; we do not attach personal identifiers.

8. Sharing Your Data

  • We do not sell your personal data.
  • We may share data with service providers who process it on our behalf (e.g. hosting, email services).
  • We may disclose data if required by law or to comply with legal obligations.

9. Termination

  • You may terminate your account at any time.
  • We may suspend or terminate your account if you breach these Terms or misuse the Service.
  • On termination, your right to use the Service ends immediately.

10. Intellectual Property

  • All intellectual property in ProVault (software, branding, design, content) belongs to us or our licensors.
  • You may not copy, distribute, modify, or create derivative works without permission.

11. Limitation of Liability

  • The Service is provided “as is” without warranties of any kind.
  • To the fullest extent permitted by law, we disclaim liability for indirect, incidental, or consequential damages (e.g., lost profits, lost data).
  • Our total liability for claims arising from the Service will not exceed the amount you paid us in the 12 months before the claim (if any).

12. Indemnity

You agree to indemnify and hold us harmless from any claims, damages, or expenses (including legal fees) arising from your use of the Service or violation of these Terms.

13. Changes to These Terms

  • We may update these Terms from time to time.
  • Material changes will be notified by email or within the Service.
  • Continued use of the Service after changes take effect means you accept the revised Terms.

14. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
